Welcome to WebFTL. These Terms and Conditions ("Terms") govern your use of our website and services. By engaging our services or using this website, you agree to be bound by these Terms.

1. About Us

WebFTL is operated by Alexandru Ciobotariu, a freelance web professional based in the European Union. "WebFTL," "we," "us," and "our" refer to Alexandru Ciobotariu operating under the WebFTL brand.

2. Services

We provide the following services:

  • Web Development - Building websites and web applications
  • Web Design - UI/UX design, mockups, and visual design
  • Full Package Solutions - Development, design, hosting, and maintenance
  • Consulting - Advisory services for web-related projects

The specific scope, deliverables, and requirements for each project will be defined in individual project agreements or proposals.

3. Eligibility

You must be at least 18 years old to engage our services. By agreeing to these Terms, you represent that you are at least 18 years of age and have the legal capacity to enter into binding agreements.

4. Project Agreements

Each project will be governed by a separate project agreement, proposal, or statement of work that outlines:

  • Scope of work and deliverables
  • Timeline and milestones
  • Pricing and payment terms
  • Number of revision rounds included
  • Intellectual property ownership terms
  • Any project-specific terms and conditions

In case of conflict between these Terms and a project agreement, the project agreement shall prevail for that specific project.

5. Payment Terms

Payment terms vary by project type and will be specified in your project agreement. Common payment structures include:

  • 50/50 Split: 50% deposit before work begins, 50% upon project completion
  • Monthly Retainer: Recurring monthly payments for ongoing services
  • Project-Based: Payment upon project completion as agreed

All invoices are due within the timeframe specified in your project agreement. Late payments may result in work being paused until payment is received.

6. Revisions

Each project includes a specific number of revision rounds as defined in your project agreement. Revisions refer to minor changes and adjustments to the agreed deliverables.

Additional revisions beyond the included rounds, or changes to the original scope, may incur additional charges at our standard hourly rate.

7. Client Responsibilities

As a client, you agree to:

  • Provide accurate, complete, and timely information and materials needed for the project
  • Ensure you have the legal right to use all content, images, and materials you provide
  • Respond to requests for feedback and approvals in a timely manner
  • Make payments according to the agreed schedule
  • Not use our services for any unlawful purpose

Delays caused by late provision of materials or feedback may affect project timelines and are not the responsibility of WebFTL.

8. Intellectual Property

Intellectual property ownership will be defined in each project agreement. Generally:

  • Upon full payment, ownership of custom work transfers as specified in your agreement
  • Third-party components (open source libraries, licensed tools, stock assets) remain subject to their respective licenses
  • We retain the right to use general knowledge, skills, and techniques developed during the project

9. Portfolio Rights

We may request permission to display completed work in our portfolio and marketing materials. Such use will only occur with your written consent. We respect client confidentiality and will not showcase work without explicit permission.

10. Third-Party Tools and Services

Our work may incorporate third-party tools, libraries, and services including:

  • Open source frameworks and libraries
  • Commercially licensed software and tools
  • Third-party hosting, APIs, or services

These components are subject to their own terms and licenses. We will inform you of any significant third-party dependencies in your project.

11. Timeline and Delivery

Project timelines are provided as written estimates and are subject to:

  • Timely provision of client materials and feedback
  • Scope remaining as originally agreed
  • Circumstances beyond our reasonable control

We will communicate proactively if any delays are anticipated and work with you to adjust timelines as needed.

12. Support and Warranty

Post-delivery support and warranty terms are included in our maintenance and support packages. The specific terms, duration, and coverage will be outlined in your project agreement or support package documentation.

Without a support package, delivered work is provided as-is upon final delivery and approval.

13. Cancellation and Termination

Project cancellation and termination terms will be handled on a case-by-case basis and defined in your project agreement. Generally:

  • Either party may request to terminate a project with written notice
  • Payments for work already completed are non-refundable
  • Specific cancellation terms in your project agreement take precedence

14. Limitation of Liability

To the maximum extent permitted by applicable law:

  • Our total liability for any claims arising from or related to our services shall not exceed the total amount paid by you for the specific project in question
  • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages
  • We are not liable for any loss of profits, data, business opportunities, or goodwill

Nothing in these Terms limits liability for death, personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

15. Indemnification

You agree to indemnify and hold WebFTL harmless from any claims, damages, or expenses arising from:

  • Your breach of these Terms
  • Content or materials you provide that infringe third-party rights
  • Your use of delivered work in violation of applicable laws

16. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of a project. This obligation survives the termination of any project agreement.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the European Union and the applicable laws of the member state in which WebFTL operates. Any disputes shall be subject to the exclusive jurisdiction of the competent courts in that jurisdiction.

18. Changes to These Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to this website. For ongoing projects, the Terms in effect at the time of the project agreement will apply.
